Please read these Terms of Service ("Terms") carefully before using the CruLink website (crulink.com) and any products or services operated by B&L Collective LLC ("CruLink", "Company", "we", "us", or "our"), including but not limited to CruLink Forge and CruLink Signal.

1. Acceptance of Terms

By accessing or using our website and services, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the Terms, you may not access our services. These Terms apply to all visitors, users, fabricators, and customers of the platform.

2. Description of Services

CruLink provides software-as-a-service ("SaaS") products for the metal fabrication industry:

CruLink Forge: A quoting, ordering, and storefront management platform that enables metal fabrication businesses ("Fabricators") to accept orders, manage customers, configure products, and process payments online.
CruLink Signal: A quote management and communication tool (coming soon).
Web Development Services: Custom website design and development services for industrial businesses, governed by separate project agreements.

CruLink is a technology platform provider. We do not manufacture, fabricate, ship, or fulfill any physical goods. All fabrication work, order fulfillment, quality control, and customer service related to physical products are the sole responsibility of the Fabricator using our platform.

3. User Accounts

When you create an account, you must provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You may not create accounts on behalf of others without their consent, share account credentials, or create multiple accounts to circumvent platform limitations.

4. Subscription Plans and Billing

4.1 Subscription Tiers

CruLink Forge offers subscription plans with varying features, usage limits, and pricing. The current tiers, features, and pricing are displayed on our website and within the Forge application. We reserve the right to modify plan features and pricing with 30 days' notice to active subscribers.

4.2 Billing

Paid subscriptions are billed in advance on a recurring monthly basis. All payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of that period. No prorated refunds are issued for partial months.

4.4 Downgrades

When downgrading to a lower tier, features exclusive to the higher tier will become unavailable at the end of the current billing period. Data associated with those features (such as custom branding settings) will be retained for 90 days in case you re-upgrade.

4.5 Promotional Codes

Promotional codes are subject to their specific terms and conditions. Promo codes cannot be combined, transferred, or redeemed for cash. We reserve the right to revoke promotional offers that are obtained through fraud or error.

5. Fabricator Responsibilities

If you use CruLink Forge as a Fabricator, you agree that:

You are solely responsible for the quality, accuracy, and fulfillment of all orders placed through your storefront.
You will comply with all applicable laws, regulations, and industry standards related to your fabrication services.
You will accurately represent your capabilities, materials, pricing, and lead times to customers.
You are responsible for handling all customer disputes, refunds, and returns related to your products and services.
You will maintain appropriate business licenses, insurance, and certifications required for your operations.
You will not use the platform to facilitate any illegal, fraudulent, or deceptive activities.

6. Customer Responsibilities

If you use CruLink Forge as a customer of a Fabricator, you acknowledge that:

CruLink is a technology platform and is not the manufacturer or seller of any products you order.
All orders, payments, disputes, and returns are between you and the Fabricator.
You are responsible for providing accurate specifications, dimensions, and requirements for your orders.
You should review the Fabricator's individual terms, return policies, and lead times before placing orders.

7. Payments and Stripe Connect

Customer payments for orders are processed through Stripe Connect. Funds are routed directly to the Fabricator's connected Stripe account. CruLink does not hold, escrow, or guarantee any funds related to customer orders. Payment disputes between customers and Fabricators are handled through Stripe's dispute resolution process.

8. Acceptable Use

You agree not to use our services to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of any third party
Upload or transmit malicious code, viruses, or harmful content
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the platform or its infrastructure
Scrape, harvest, or collect data from the platform without authorization
Resell, sublicense, or redistribute the service without written authorization
Use the platform to process orders for illegal goods, weapons, or controlled substances
Misrepresent your identity, capabilities, or affiliation

9. Intellectual Property

9.1 Platform IP

The CruLink platform, including its software, design, logos, trademarks, and content, is owned by B&L Collective LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms.

9.2 User Content

You retain ownership of all content you upload to the platform, including designs, specifications, 3D models, logos, and images. By uploading content, you grant CruLink a limited license to store, display, and process that content solely as necessary to provide the services.

9.3 Feedback

Any feedback, suggestions, or ideas you provide about the platform may be used by CruLink without obligation or compensation to you.

10. Copyright and DMCA

We respect the intellectual property rights of others. If you believe that content on our platform infringes your copyright, please contact us at bnlcollectivellc@gmail.com with the following information:

A description of the copyrighted work you claim has been infringed
The location of the infringing material on our platform
Your contact information
A statement that you have a good faith belief that the use is not authorized
A statement that the information in your notice is accurate, under penalty of perjury

We will respond to valid DMCA notices and may remove or disable access to the allegedly infringing content. Repeat infringers may have their accounts terminated.

11. Data and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Fabricators who process customer personal data through the platform acknowledge that they act as data controllers for their customers' information. CruLink acts as a data processor on behalf of Fabricators for customer data stored and processed through the platform.

12. Limitation of Liability

To the maximum extent permitted by law, B&L Collective LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from:

Your use of or inability to use the platform
Any transactions between Fabricators and customers
The quality, safety, or legality of fabricated products
Unauthorized access to or alteration of your data
Any third-party conduct on the platform

Our total aggregate liability for any claims arising from or relating to these Terms or our services shall not exceed the total amount you paid to CruLink in the twelve (12) months preceding the claim.

13. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, secure, or error-free. We do not warrant the accuracy, reliability, or completeness of any information provided by Fabricators or customers on the platform.

14. Indemnification

You agree to indemnify and hold harmless B&L Collective LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

Your use of our services
Your violation of these Terms
Your violation of any third-party rights
Any content you upload to the platform
Any products or services you sell through the platform (for Fabricators)

15. Termination

We may suspend or terminate your account and access to our services at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, non-payment, fraudulent activity, or extended inactivity.

Upon termination, your right to use our services ceases immediately. We will retain your data for 90 days following termination, after which it may be permanently deleted. You may request an export of your data prior to or within 30 days of termination.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website, updating the "Last updated" date, and where possible, sending email notification to active subscribers. Your continued use of our services after such changes constitutes acceptance of the new Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, United States, without regard to its conflict of law provisions.

18. Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation for a period of 30 days. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Arkansas.

You agree that any arbitration shall be conducted on an individual basis and not as a class action or class arbitration. You waive any right to participate in a class action lawsuit or class arbitration against CruLink.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with CruLink, constitute the entire agreement between you and CruLink regarding the use of our services.
